RESOLUTION ACCEPTING UNDERGROUND UTILITY EASEMENTS
FOR THE COYOTE REAL ESTATE HOLDINGS PROJECT
WHEREAS, the City Council for the City of Plainview, Texas, as a home -rule
municipality and pursuant to the constitution and laws of the State of Texas including, but
not limited to, Article 11, Section 5 of the Texas Constitution and Texas Local Government
Code § 273.001, has the authority to acquire property by gift, dedication, or purchase
property for streets, boulevards, alleys, or other public ways; and
WHEREAS, it is necessary for the City of Plainview, as part of the Coyote Real
Estate Holdings Project, to acquire from a number of property owners adjacent to or in
close proximity to the Project certain underground utility easements with the specific
authority and rights outlined in the easements attached to this resolution and incorporated
herein as though set forth fully herein (the "Easements");
NOW THEREFORE, BE IT RESOLVED by the City Council of the City of
Plainview, Texas:
1. THAT the findings recitals outlined above are found to be true and correct
and are hereby adopted and approved.
2. THAT the Easements for the following properties and attached to this
resolution grant to the City of Plainview a permanent and perpetual easement over, on,
and across the Easement Property, with the right of ingress and egress for constructing,
installing, maintaining, altering, replacing, repairing, relocating and operating utilities
which include, without limitation, water, stormwater, sewer, gas, telecommunication and
electric distribution/transmission utilities:

granted in such Easements.
4. THAT the Mayor is hereby authorized and directed to enter into and execute
any such documents as necessary to affect and certify the acceptance of these
Easements.

Consideration:
Ten and No/100 Dollars ($10.00) and other valuable consideration to the undersigned paid by the
Grantee, the receipt of which is hereby acknowledged.
Easement Property:
See attached Swvey Exhibit incorporated herein as though set forth fully herein.
Grant of Easement and Purpose:
Grantor, for the Consideration stated and subject to the Reservations and Exceptions hereinafter made
and with the restrictions and upon the covenants below stated, does grant, sell, and convey unto the
Grantee, its successors and assigns, a permanent and perpetual easement over, on, and across the
Easement Property, with the right of ingress and egress for constructing, installing, maintaining,
altering, replacing, repairing, relocating and operating utilities which include, without limitation,
water, stormwater, sewer, gas, telecommunication and electric distribution/transmission utilities as
Grantee shall determine in its sole and absolute discretion in, on, along and across the Easement
Property (Easement).

General: The following terms and conditions apply to the Easement granted by this agreement:
Character ojEasement. The Easement is appurtenant to and runs with Grantor's property where the Easement
Property is located, whether or not the Easement is referenced or described in any conveyance of all or such
portion of the Grantor's property. The Easement is nonexclusive and irrevocable.
Duration of Easemeni. The duration of the Easement is perpetual.
Reservation of Rights. Grantor reserves for Grantor and Grantor's heirs, successors, and assigns the right to
continue to use and enjoy the surface of the Easement Property for all purposes that do not interfere with or
interrupt the use or enjoyment of the Easement by Grantee.
Underground Utility Easement: Grantee and Grantee's successors and assigns, shall have the right, and
shall have the right to authorize and assign Grantee's rights to utility companies and businesses, to construct,
install, maintain, alter, replace, repair, relocate and operate utilities which include, without limitation, water,
stormwater, sewer, gas, telecommunication and electric distribution/transmission utilities within the
Easement. For illustration purposes and without limiting the general authority to use the Easement for utility
purposes, these rights include:
Electric Utilities. Constructing, excavating, installing, maintaining, altering, replacing,
repairing, relocating and operating a variable number of conductors, wires, communication
cables, insulators, crossarms, service lines, and all other necessary and desirable
appurtenances and devices attached to, supported from, and a part of the necessary structures
consisting of a variable number of wood, steel, other metal, or other substance members of
poles, props, guys, and anchors used for the distribution, transmission and provision of electric
utility service.
Natural Gas Utilities. Constructing, excavating, installing, maintaining, altering, replacing,
repairing, relocating and operating pipelines for conveying gas, necessary and proper valves
and other appliances and fittings, and devices for controlling electrolysis for use in connection
with such pipelines, and any such other necessary and desirable appurtenances for the
distribution, transmission and provision of gas utility service.
Telecommunication Utilities. Constructing, excavating, installing, maintaining, altering,
replacing, repairing, relocating and operating wires, communication cables, insulators,
pipelines, service lines, and all other necessary and desirable appurtenances and devices used
for the transmission and provision of telecommunications service.
Water, Stormwater, Sewer Utilities. Constructing, excavating, installing, maintaining,
altering, replacing, repairing, relocating and operating distribution and collections lines,
pipelines necessary for conveying or collecting water, stonnwater or sewage, necessary and
proper valves and other appliances and fittings, access ways and any other necessary and
desirable appurtenances for the distribution, collection, transmission and provision water,
storrnwater, sewer utility service.
General. Grantee and Grantee's successors and assigns (including any utility company
operating under this Easement) including its employees, agents, contractors shall have the
right (1) of ingress and egress over Grantor's adjacent lands which are contiguous to the
easement; (2) the reasonable right from time to time to remove any and all paving,
undergrowth, trees, brush or other vegetation or other obstructions that might endanger or
interfere with Grantee's facilities or use of the Easement; and (3) the rights to abandon -in -
place any and all lines, distribution lines, pipelines, service lines and associated appurtenances,

such that Grantee shall have no obligation or liability to Grantor, or their successors or assigns,
to move or remove any such abandoned lines or appurtenances.
Pre-existing Improvements/Fences and Access by Grantor. For all improvements and fences
existing prior to the Effective Date of this Easement located within the Easement (Pre -Existing
Improvements), Grantee and Grantee's successors and assigns (including any utility company
operating under this Easement) including its employees, agents, contractors shall be
responsible for the repair or replacement of Pre -Existing Improvements damaged by the
installation, construction, maintenance or repair of utilities within the Easement. Grantee and
Grantee's successors and assigns (including any utility company operating under this
Easement) including its employees, agents, contractors shall be responsible for any damages
to the Grantor's property adjacent to but not within the Easement directly attributable to the
installation, construction, maintenance or repair of utilities within the Easement. Grantee and
Grantee's successors and assigns (including any utility company operating under this
Easement) shall provide Grantor access to Grantor's property or properties during the
installation, construction, maintenance or repair of utilities within the Easement.
All utilities shall be constructed and maintained in accordance with applicable federal, state
and local laws, ordinances and regulations.
When the context requires, singular nouns and pronouns include the plural.
This instrument was prepared based on information furnished by the parties and no independent title search
has been made.
Grantor binds Grantor and Grantor's heirs, successors, and assigns to warrant and forever defend the title to
the Easement in Grantee and Grantee's heirs, successors, and assigns against every person whomsoever
lawfully claiming or to claim the Easement or any part thereof, except as to the Reservations from and
Exception to Conveyance and Warranty.

An Underground Utility Easement located in the Northwest Quarter (N W/4) of Section 29. Block
JK-2, G.0 & S.F. RR. Co. Survey, Abstract No. 26, Hale County, Texas, and being situated within
those certain tracts of land conveyed to Bobby 1. Brunson and Jeanine Brunson described as Tracts
2 and 3 in a Special Warranty Deed recorded in County Clerk's File Number 2022-000682 of the
Official Public Records of Hale County, Texas, said Underground Utility Easement contains 0.175
acres of land being further described by metes and bounds as follows:
BEGINNING at a 1/2" iron rod found at the southern common comer of two right-of-way
dedications recorded in Volume 862, Page 579 and Page 581 of the Deed Records of Hale County,
Texas, same being the northeast comer of said Brunson Tract 2 and the most northern northwest
corner of that certain tract of land conveyed to Coyote Real Estate Holdings, LLC, described as
9.813 acres of land in a Cash Warranty Deed recorded in County Clerk's File Number 2011-
003677 of the Official Public Records of Hale County, Texas, and the northeast comer of this
easement, having coordinates of Northing: 7,488,613.89 and Easting: 984,929.53 of the Texas
Coordinate System of 1983 (2011), Texas North Central Zone, whence the northwest corner of
said Section 29 bears N. 04' 32' 49" W. a distance of 485.85 feet, N. 00' 42' 11 " E. a distance of
587.00 feet and N. 89' 17' 23" W. a distance of 2093.80 feet,
THENCE S. 040 32' 49" E., along the common line of said Brunson Tracts 2 and 3 and said Coyote
Real Estate tract, a distance of 761.40 feet to a 1 /2" iron rod found at the southeast comer of said
Brunson Tract 3 and an ell comer of said Coyote Real Estate tract for the southeast comer of this
easement;
THENCE N. 890 17' 49" W., along the common line of said Brunson Tract 3 and said Coyote
Real Estate tract, a distance of 10.04 feet (indicated as line'112" on Exhibit sketch) to a point for
the southwest corner of this easement;
THENCE N. 040 32' 49" W., at 10.00 feet west of and parallel with the east line of said Brunson
Tracts 2 and 3, a distance of 760.48 feet to a point in the south line of said right-of-way dedication
recorded in Volume 862, Page 579 for the northwest comer of this easement;
THENCE N. 850 27' 11" E. a distance of 10.00 feet (indicated as line "L13" on Exhibit sketch)
to the POINT OF BEGINNING. Bearings are relative to the Texas Coordinate System of 1983
(2011), Texas North Central Zone. The convergence angle to True North is -1 ° 46' 24.84" and the
combined scale factor is 0.99990627. as computed from a point of origin located at Northing:

General: The following terms and conditions apply to the Easement granted by this agreement:
Character of Easement. The Easement is appurtenant to and runs with Grantor's property where the Easement
Property is located, whether or not the Easement is referenced or described in any conveyance of all or such
portion of the Grantor's property. The Easement is nonexclusive and irrevocable.
Duration ojEasement. The duration of the Easement is perpetual.
Reservation of Rights. Grantor reserves for Grantor and Grantor's heirs, successors, and assigns the right to
continue to use and enjoy the surface of the Easement Property for all purposes that do not interfere with or
interrupt the use or enjoyment of the Easement by Grantee.
Underground Utility Easement: Grantee and Grantee's successors and assigns, shall have the right, and
shall have the right to authorize and assign Grantee's rights to utility companies and businesses, to construct,
install, maintain, alter, replace, repair, relocate and operate utilities which include, without limitation, water.
stormwater, sewer, gas, telecommunication and electric distribution/transmission utilities within the
Easement. For illustration purposes and without limiting the general authority to use the Easement for utility
purposes, these rights include:
Electric Utilities. Constructing, excavating, installing, maintaining, altering, replacing,
repairing, relocating and operating a variable number of conductors, wires, communication
cables, insulators, crossarms, service lines, and all other necessary and desirable
appurtenances and devices attached to, supported from, and a part of the necessary structures
consisting of a variable number of wood, steel, other metal, or other substance members of
poles, props, guys, and anchors used for the distribution. transmission and provision of electric
utility service.
Natural Gas Utilities. Constructing, excavating, installing, maintaining, altering, replacing,
repairing, relocating and operating pipelines for conveying gas, necessary and proper valves
and other appliances and fittings, and devices for controlling electrolysis for use in connection
with such pipelines, and any such other necessary and desirable appurtenances for the
distribution, transmission and provision of gas utility service.
Telecommunication Utilities. Constructing, excavating, installing, maintaining, altering,
replacing, repairing, relocating and operating wires, communication cables, insulators,
pipelines, service lines, and all other necessary and desirable appurtenances and devices used
for the transmission and provision of telecommunications service.
Water, 9ormwater, Server Utilities. Constructing, excavating, installing, maintaining,
altering, replacing, repairing, relocating and operating distribution and collections lines,
pipelines necessary for conveying or collecting water, stormwater or sewage, necessary and
proper valves and other appliances and fittings, access ways and any other necessary and
desirable appurtenances for the distribution, collection, transmission and provision water,
stormwater, sewer utility service.

operating under this Easement) including its employees, agents, contractors shall be
responsible for the repair or replacement of Pre -Existing Improvements damaged by the
installation, construction, maintenance or repair of utilities within the Easement. Grantee and
Grantee's successors and assigns (including any utility company operating under this
Easement) including its employees, agents, contractors shall be responsible for any damages
to the Grantor's property adjacent to but not within the Easement directly attributable to the
installation, construction, maintenance or repair of utilities within the Easement. Grantee and
Grantee's successors and assigns (including any utility company operating under this
Easement) shall provide Grantor access to Grantor's property or properties during the
installation, construction, maintenance or repair of utilities within the Easement.

Grant of Easement and Purpose:
Grantor, for the Consideration stated and subject to the Reservations and Exceptions hereinafter made
and with the restrictions and upon the covenants below stated, does grant, sell, and convey unto the
Grantee, its successors and assigns, a permanent and perpetual easement over, on, and across the
Easement Property, with the right of ingress and egress for constructing, installing. maintaining,
altering, replacing, repairing, relocating and operating utilities which include, without limitation,
water, stormwater, sewer, gas, telecommunication and electric distribution/transmission utilities as
Grantee shall determine in its sole and absolute discretion in, on, along and across the Easement
Property (Easement).

General: The following terms and conditions apply to the Easement granted by this agreement:
Churcwter of &isement. The Easement is appurtenant to and runs with Grantor's property where the Easement
Property is located, whether or not the Fasement is referenced or described in any conveyance of all or such
Portion of the Grantor's property. The Easement is nonexclusive and irrevocable.
Duration q/ Eawment. The duration of the Easement is perpetual.
Re.urvutlon of Rights. Grantor reserves for Grantor and Grantor's heirs, successors, and assigns the right to
continue to use and enjoy the surface of the Easement Property for all purposes that do not interfere with or
interrupt the use or enjoyment of the Easement by Grantee.
Underground Utility Easement: Grantee and Grantee's successors and assigns, shall have the right, and
shall have the right to authorize and assign Grantee's rights to utility companies and businesses, to construct,
install. maintain, alter, replace. repair, relocate and operate utilities which include, without limitation, water,
stormwater, sewer, gas, telecommunication and electric distribution/transmission utilities within the
Easement. For illustration purposes and without limiting the general authority to use the Easement for utility
purposes, these rights include:
Electric Utilities. Constructing, excavating, installing, maintaining, altering, replacing,
repairing, relocating and operating a variable number of conductors, wires, communication
cables, insulators, crossarms, service lines, and all other necessary and desirable
appurtenances and devices attached to, supported from, and a part of the necessary structures
consisting of a variable number of wood, steel, other metal, or other substance members of
poles, props, guys, and anchors used for the distribution. transmission and provision ofelectric
utility service.
Natural Gas O' dines. Constructing, excavating, installing, maintaining, altering, replacing,
repairing, relocating and operating pipelines for conveying gas, necessary and proper valves
and other appliances and fittings, and devices for controlling electrolysis for use in connection
with such pipelines, and any such other necessary and desirable appurtenances for the
distribution, transmission and provision of gas utility service.
Ieleronrmunication Utilities. Constructing, excavating. installing, maintaining, altering,
replacing, repairing, relocating and operating wires, communication cables, insulators,
pipelines, service lines, and all other necessary and desirable appurtenances and devices used
for the transmission and provision of telecommunications service.
Water. Slormwater, .Sewer Utilities. Constructing, excavating, installing, maintaining,
altering, replacing, repairing, relocating and operating distribution and collections lines,
pipelines necessary for conveying or collecting water, stormwater or sewage, necessary and
proper valves and other appliances and fittings, access ways and any other necessary and
desirable appurtenances for the distribution, collection, transmission and provision water,
stonnwater, sewer utility service.
General. Grantee and Grantee's successors and assigns (including any utility company
operating under this Easement) including its employees, agents, contractors shall have the
right (I) of ingress and egress over Grantor's adjacent lands which are contiguous to the
casement: (2) the reasonable right from time to time to remove any and all paving,
undergrowth, trees, brush or other vegetation or other obstructions that might endanger or
interfere with Grantee's facilities or use of the Easement: and (3) the rights to abandon -in -
place any and all lines, distribution lines, pipelines, service lines and associated appurtenances.

such that Grantee shall have no obligation or liability to Grantor, or their successors or assign&
to move or remove any such abandoned lines or appurtenances.
Pre-existing Improvements/Fences and Access by Grantor. For all improvements and fences
existing prior to the Effective Date of this Easement located within the Easement (Prc-Existing
Improvements), Grantee and Grantee's successors and assigns (including any utility company
operating under this Easement) including its employees, agents, contractors shall he
responsible for the repair or replacement of Pre -Existing Improvements damaged by the
installation, construction, maintenance or repair of utilities within the Easement. Grantee and
Grantee's successors and assigns (including any utility company operating under this
Easement) including its employees, agents, contractors shall be responsible for any damages
to the Grantor's property adjacent to but not within the Easement directly attributable to the
installation, construction, maintenance or repair of utilities within the Easement. Grantee and
Grantee's successors and assigns (including any utility company operating under this
Easement) shall provide Grantor access to Grantor's property or properties during the
installation, construction. maintenance or repair of utilities within the Easement.
Ali utilities shall be constructed and maintained in accordance with applicable federal, state
and local laws, ordinances and regulations.
When the context requires, singular nouns and pronouns include the plural.
This instrument was prepared based on information furnished by the parties and no independent title search
has been made.
Grantor binds Grantor and Grantor's heirs, successors, and assigns to warrant and forever defend the title to
the Easement in Grantee and Grantee's heirs, successors, and assigns against every person whomsoever
lawfully claiming or to claim the Easement or any part thereof, except as to the Reservations from and
Exception to Conveyance and Warranty.
