R90-10$ A RESOLUTION OF THE CITY OF PLAINVIEW, TEXAS, AWARDING A BID AND AUTHORIZING THE MAYOR TO EXECUTE A LEASE AGREEMENT .FOR THE USE. OF THE RUNNING -WATER .DRAW REGIONAL PARK SOFTBALL COMPLEX. WHEREAS, the. City of Plainview currently has three formal playing fields located within the Running Water Draw Regional Park Complex; and WHEREAS, the City: Council of the City of Plainview desires to see that said fields and facilities be used for organized athletic activity sa as to give all interested adults in the City of Plainview an opportunity to participate in a recreational program of slow-pitch .softball, and at the same time minimize the operational cast of such a program to City residents of Plainview; and WHEREAS, to reach. the goals of providing such a program at the least expense to the citizens` of Plainview, the City Council of the City of Plainview desires to lease said facilities and WHEREAS, bids have been advertised for and tabulated and are hereby attached and made a permanent part of this Resolution. NOW, THEREFORE, BE IT RESOLVED by the Mayor and City Council of the City of Plainview, Texas, .that the bid far the use of three .formal playing fields and associated softball complex located within the Running .Water Draw Regional Park Complex be awarded to YMCA ; and BE IT FURTHER RESOLVED that the Mayor is hereby authorized to execute a lease agreement with YMCA for the use of the softball complex for the 1990 season. WHEREAS, .the City of Plain.yiow is the owner of the following tract of land and park facilities located within. the city limits of the City of Plainview; and WHEREAS, the City of Plainview has considered the needs of the said area of Plainview and has determined that the softball fields and related facilities can best be used as a park for the pleasure and recreation of the general public and as a softball complex far those adults enjoying that type of recreational facility; and WHEREAS, substantial savings to ,the public will... result. by the joint use of the said property by the City of Plainview as a general park for the public and by a private entity as an athletic facility and softball complex for members of its organisation; and WHEREAS, the City has requested interested parties to submit proposals to operate an-adult softball program in the City of Plainview with the objective of leasing out the herein described park facilities and properties; and WHEREAS, the City Council of the City of .Plainview has received and reviewed the proposals to operate an adult softball ~~ program within the .City of Plainview and has awarded the bid for operation of the program to the Plainview YMCA. NOW, THEREFORE, in order to accomplish this purpose, it is agreed by and between the City of Plainview, hereinafter referred to as "City" and the Plainview YMCA, hereinafter referred to as ""Association"~ each acting by and through its officers heretofore duly authorized; I A. For and in the consideration of the mutual keeping of the covenants and agreements herein contained on the part of the City and the Assaciation, the City does hereby lease to the Association for a period of six ( 6 ) months, beginning at 12:01 A.M. , April 1, through 11:59 P.M., October 1, 199.0, the following described property located within the corporate limits. of the City of Plainview, Hale County, Texas to wit: B. The three (3) formal playing fields lying south of 3600 West 4th Street,. and north of Running Water Draw. These three (3) playing fields are located within the Running Water Draw Regional Park Complex. C. The lease does include the playing fields, spectator stands and related facilities located on this property. It is understood-that the Association intends- to use the softball fields, spectator stands and related facilities. far athletic activities by the general membership of the Association '" and other .teams that may enter an Association sponsored tournament. E. This lease shall terminate at 12:59 P.M., October 1, 1990. The Association. shall have the obligation each year to submit to the City a formal written request for. renewal of this lease prior to November 15th. In the event the Association requests renewal of this lease, terms may be renegotiated or the lease rebid. II A. General Maintenance. It is understood and agreed that the Association shall have the responsibility to maintain the said premises at its. expense during the term of this. agreement. All routine maintenance of seats, fences, and playing surface will be accomplished by the Assaciation. All improvements .other than normal routine maintenance and repairs to the premises and facilities will first be approved by the Superintendent of Parks for the City. B. Use of Facilities. The Association shall have the responsibility to control all operations necessary for the use of the facilities during the term of this lease. Preparation of the playing fields and facilities are the. responsibility of .the Association. Access to the fields for preparatory work on the fields prior to the commencement of this lease may be gained by coordinating with the Parks Superintendent and with his approval. C. Crowd Control. (1) The Association shall be responsible for the control of all participants and spectators and users of the fields and facilities during the term of this lease. (2) It shall be the responsibility of the Association to provide adequate supervision over all activities. The Parks Superintendent, at his discretion, may require the use of security guards, which may be off-du'ty Plainview Policemen. Association will be responsible for paying for the service of said security personnel. Disturbances will not be permitted and if a disturbance does occur, the Plainview Police Department or the Parks Superintendent may order the facilities closed and/or this lease terminated. D. Compliance with Law. (1) The Association shall comply with all federal, state, and local laws as such pertain to the usage of the park and ,, parks facilities during- the term of this .lease. .The Association shall also comply with all Administrative Policy's ~`~ and Regulations of the City of Plainview regarding the usage of Park facilities. 2 of 6 ~ ,. 1,, - E. .Electrical Casts. The Association agrees to be responsible for 1000 of the electrical service used during the term ~f~ of this lease. Said service. shall be determined by a Southwestern ~_ Public Service reading of the meter the morning of April. 1, 1990, and again the morning of October 2, 1990. Southwestern Public Service shall compute and provide the cost figure to the City, and the Association shall .promptly pay the City such amount upon tendering of the bill. F. Repairs to Lights. The Association agrees to pay. $1,000 for maintenance, repair and/or replacement of any lights. Said monies will. be tendered as costs are incurred. In the event the full balance has not been expended at the termination of this agreement, the Association shall tender the balance to the City which shall be placed in an interest bearing account designated for future-light and bulb replacement. G. Custodial Duties. The Association is responsible for general maintenance and custodial services of the facilities. In the event maintenance and/or custodial services are necessary after the. expiration of this lease to return the leased facilitates to there preexisting condition, the City may either request the Association to perform such or bill the Association far the costs associated with such cleanup. The Association shall assume all responsibility to prepare the infield area for play and the City will water and mow the outfield ~- area on a normal park maintenance schedule. In the event the park `~.~_: maintenance schedule does not meet the needs of the program, the Association will mow-the outfield grass at their expense, or will cancel the games until mowed by the Park Department, on the regular parks maintenance schedule. H. Damage to Facilities.. The Association is responsible for any damage to .the leased facilities incurred during the term of this lease. .Any repairs needed, and the means and manner in which said repairs are to be accomplished, shall be determined by the City. I. Concession Facilities. Association. is authorized to operate a concession facility during the term of this lease. Location and utility service to said facility shall be subject to approval of City. The operation of such concession activities will be based on the .requirements of a Concession Permit, identified as Exhibit B and incorporated by reference into this agreement. III A. The Association shall have control over said premises during such time that it is being used by the Association and its membership. It is further understood and agreed that during the term of this agreement, the priority for the use of said premises \' shall be given to the Association. 3 of 6 ~~ B. The City may require use of the facility-for public use. In the event the City requires use of the facilities, a two (2) week ~~~ written advance notice may be given. Such notice shall shall be ^~'~' given only if time allows such. and is not mandatory for the City to. exercise its rights to use the facilities. IV A. The Association and the City will cooperate and coordinate the recreational activities so the area under the terms of this lease will at all times be maintained in the utmost serviceable condition. B. Should at any time a controversy arise in -the administration of this agreement, and which substantially affects the purpose and terms hereof, it shall be submitted to the governing bodies of the respective parties for consideration and. adjustment. V A. The Association shall maintain the premises in good condition during the term of this lease., reasonable wear and tear excepted. .The Association shall, at its expense, during the term of this lease, have the responsibility to inspect,. maintain, and repair the playing fields, spectator stands, fences, and other facilities used in conjunction with the playing fields. B. The Association shall, at its expense, be responsible for the repair of any damage. occasioned to the. softball fields, spectator stands, and other facilities as a result of vandalism which may occur during the period of time that the property is leased to the Association. The Association will not be responsible for vandalism damage after October 1, and until April 1 of each year if contract is renewed. This expense shall be separate, apart and in addition to lighting expense as provided in II, (F). C. During the term of this lease, or any renewal and extension thereof, the Association shall, at its expense, maintain the infield area to its own pleasure. The Association will keep all weeds from the base of the fences, backstop. and spectator stands. D. The City shall, at its expense, mow the outfield grass and water the grass on its standard cycle. The time and hours for watering the grass shall be coordinated with the Association so as not to conflict with the scheduled games.. The Association. is required to furnish a full. schedule of all games including tournaments to the Superintendent of Parks before the season commences. VI \ A. Upon termination of this lease, the Association shall have ~~" the option to request in writing by November 15th a renewal of this lease provided the City ratifies and confirms said lease for the requested period. 4 of 6 Q3 VII A. All tournaments taking place at the leased facilities \1" during the term of this contract shall comply with the Tournament Policies. (see. attached Exhibit A). VIII A. The Association agrees to indemnify and save the City whole and harmless from any and all claims for injuries or damages to any person or property occasioned by or arising by the reason of the Association's negligence and to save the City whole and harmless and to indemnify it from any and all claims for damages or injuries to property or persons, which said injuries or damage, would not have occurred but far the actions or conduct of the Association or its agents in the use of the .softball field and related facilities. The Association shall furnish the City of Plainview a certificate showing that it has in force (and it shall keep same in force at all times) a policy of liability insurance with a company authorized to do business in the State: of Texas in an amount of not less than the state statutory limits of liability for governmental entities under the Tort Claims Act, as protection of any liability for damages of said Association, .its agents, employees, or any .other person assisting in the carrying out of any function authorized hereby, and the same shall, in addition to protecting. the Association, provide therein that it will also protect the said City of Plainview. IX A. Thirty (30) days following completion of the contract the Association will provide the City a Financial Statement listing the revenues and expenditures for the contract period. Surplus monies from the program will be equally divided between the City and the YMCA. The .City's share of the surplus money shall be received the same .date the financial statement is tendered and be retained by the City for use on park capital improvements. B. -The YMCA agrees to utilize its share of any surplus monies toward the benefit of a YMCA sponsored youth program(s}, X A. This lease agreement may be terminated at any time by mutual agreement of both the Association and the .City. The City also holds the right to terminate this lease at anytime by serving written notice to the Association a minimum of thirty (30) days prior to termination. B. The Association shall provide the Parks Superintendent a list of its current .officers, the name and phone number of the person responsible for carrying out the terms of this contract for the Association .and the Associations mailing address. Should any of these. items change during the terms of the. contract, the Parks Superintendent shall be notified in writing of the changes. 5 of 6 n t~ .~.. XI ~,, 1~. It is intended that this instrument is written subject to `" all legal provisions, and should a Courtof'competent jurisdiction declare any word, phrase, clause, sentence or paragraph as being invalid for any reason, it is the intention of the parties that the remaining provisions shall remain in full force and effect. All tournaments must have prior approval of the Parks Superintendent (minimum 2 weeks). It is suggested that all tournaments be scheduled early, so they can be scheduled along with regular season activities. 2. The Plainview YMCA (hereinafter called "Association") shall be responsible for all tournaments staged in the Running Water Draw Regional .Park Softball Complex. 3. A Tournament Director and one assistant shall be appointed by the. Association to oversee all. tournaments, (not necessarily the same person each time) and these people will have the responsibility of insuring that the tournament is conducted in a prudent manner. One of these persons must be present at all times during the tournament .and will work, as needed,. to keep playing facilities ready. 4. The City Parks Department shall conduct normal maintenance on ~~-,. the playing fields and the tournament will be responsible for any '~,; additional work required. In addition, the Parks Superintendent will have the final decision on whether field conditions warrant p1aY• 5. In handling the financial arrangements for each tournament, the Association shall be responsible for all monies and pay the expense of the tournament. If some nonprofit organization is sponsoring a tournament for a charitable purpose, the Association shall handle all receipts and pay the bills,. then divide the proceeds with the sponsor as agreed upon by the two parties. 6. A set of written rules, for the tournament, shall be delivered to each team entered and shall include the following, as ordained by City Ordinance: (a} No vehicle will be .permitted off the streets and parking lots. (b) No camping will be permitted. (c) All litter must be disposed of in trash receptacles which will be provided at convenient locations by the City Parks Department. 7. The Tournament Sponsor will be responsible for cleaning up trash. after the tournament. 1 of 1 0 EXHIBIT B 1990 CONCESSION PERMIT PLAINVIEW YMCA SECTION 1. The Plainview YMCA (herein referred to as the "Association" is hereby granted a nonexclusive franchise and permission to operate concessions for the sale of cold drinks and confections, sandwiches, hamburgers and such other type foods as are ordinarily sold in and around park areas where crowds gather for .activities, subject, however, to the conditions, limitations provided for in this Permit, and in accordance with all policies and ordinances of the City of Plainview and the Plainview/Health County Health District. SECTION 2. The area for which said franchise and permission is granted is as follows: Running Water Draw Regional Park.. SECTION 3. The term of this permit is to coincide with the term of the lease agreement. The City may terminate. this permit at any time by ..giving written notice of such termination to the Association. SECTION 4. No permanent facility shall be used during this time period; only mobile or temporary type equipment shall be used. The mobile or temporary type equipment. and its location shall be approved by the Parks Superintendent and maintained in an attractive and safe condition. ,,,. SECTION 5. The nonexclusive rights and .privileges which shall be granted unto the concessionaire shall not include catering service to individuals or groups of individuals renting or leasing park building ,facilities or using park picnic areas or prevent any individuals or groups from brining their own food and drinks into public park areas.. SECTION 6. The servicing and dispensing at such time as the public requires, and the locations of such mobile carts or wagons or refreshment stands, and the wholesomeness and sanitation of all foods, refreshments; confectionary and beverages be subject to the approval of the Parks Department. and compliance with the City of Plainview Health Sanitation and Zoning Codes. SECTION 7. The concessionaire shall be responsible for the cleanliness of the concession area and shall not permit garbage or other refuse to accumulate or to gather in or about the mobile cart or wagon, except in suitable covered garbage receptacles which shall be provided. by the Parks Departments. SECTION 8. The concessionaire shall, at his own cost and expense, furnish and maintain in good usable condition, a sufficient amount of moveable equipment., including, but not limited to, soda fountains, show cases, cash registers, ice cream cabinets, bottle coolers, popcorn machines, drink dispensers, refrigerators, coffee urns, tables, etc., as may be necessary to properly furnish .the services as needed and in a manner acceptable to the Parks Department.. 1 of 2 ~~~ SECTION 9. The concessionaire shall use either members of the Association. or their related personnel as needed to properly staff `~ the various concession operations as operated in the parks. The \'~-' concessionaire shall be responsible for the competency of all personnel staffing the various concession operations, whether they be volunteer or paid personnel. SECTION 10. .The Parks Department shall. be responsible for approving hours of operation and will govern such times according to public needs and demands. SECTION 11. The various foodstuffs and confections including, but not limited to, candies, popcorn, breads, and soft drinks shall be of a high .quality and subject to various specifications as determined necessary for the Parks Department in keeping with the best interests. of the public.. All prices. shall be posted and competitive with prices as normally found at similar concession operations. SECTION 12. The rights and privileges which shall be granted shall not be transferable in nature and no assignment or subcontract shall be granted without permission of the Parks Department. SECTION 13. The Association shall furnish the City of Plainview a certificate showing that it has in force (and it shall keep same in farce at all times} a policy of liability insurance with a company authorized to do business in the State of Texas in an amount of not less than the state statutory limits of liability for governmental entities under the Tort Claims Act, as protection of any liability or damages of said Association, its agents, employees, or any other person assisting in the carrying out of any function authorized hereby, the same shall, in addition to protecting the Association, provide therein that it will also protect the .said City of Plainview. SECTION 14. The Association shall furnish the Parks Superintendent a written financial statement no later than November 15th each fiscal year. This lease will cover. the 1990 season. Two organizations requested and received .copies of the specifications. These same two organizations submitted bids for the use of the facilities for 1990. These organizations are.: The Plainview Softball Association (P.S.A.) The Young Men's Christian Association (Y.M.C.A) - Where possible- a direct comparison has been provided to expedite. the process of eualuation.' Due to the different formats used by the two parties it will be necessary for you to read through the two bids in order to extract the needed information beyond ~_~ paragraph 2C of the specification sheet. The bid submitted by the Y.M.C.A does follow the format provided and that submitted by the P.S.A. i more in the form of two letters included as part of the- bid. Not all of the specification subject matter is addressed in .the submitted bid proposal in the case of the P.S.A. and is not considered a .mandate in items 2d, 3 , 4 and ~ of the bid specifications as these items are covered as needed under the contents of the contract. For your information .and consideration the following comparisons are listed. SPECIFICATIONS: 1) a. Both. parties submitted a projected program to provide for 500 plus participants within the scope of the program. b. Each program provides for a reasonable number of games per league or group. c. It has come to my attentia€~ ths~ the prior president of the Softball Association did not submit our bid as re- qured in our .bylaws. .Please permit me to explain our situation. My term as the current vice-president of the the Softball Association begeu~ in 1989.. When I took office, there was very limited documentation of financial transactions and bank statements of the Softball Association's account. Also, the minutes of meetings were not recorded and I have found that-money was still being turned in to the president and deposited into the old account during the season. I am trying to correct this, and in order. for the new season to begin on a clean start, we opened up another account at Blue Bonnet Savings.- I do not khow how the money of the previous account was spent as documentation was limited. I had asked the prior president for all records and rdceipts of that account to be turned in for my season, but did not receive those records until the end of ..the season.. The YMCA ~, history is related to health, fitness, and recreational activities. Pro- fessional staff will be in charge. of the adult softball program, as well as trained :volunteers such.. as Joe Morris Berry, YMCA Board Chairman. Mr. Joe Berry, was in charge of the Softball Association back in 1984 and 1985. G1hen Mr. Berry .was in charge of the program, the Softball Association had 53 teams with weekend tournanents, and a large financial surplus. See then, the Softball Association team participation has .dropped to 17-teams in 1989,. with many players playing. on both open league and recreational league teams. Also, the Softball Associations monies have deteroated from a large surpl~~ to nothing. Two years ago this surplus was the reason that the Softball Association was awarded the bid. It was agreed that the Softball Associate would build a concession stand and restroom facilities with this surplus of money. The Softball Association does not know where the money went ie, -there was no accountability for the finances. The YMCA. will keep seperate books, and will attempt. to restore credibility to the program by being accountable to the Board of Directors and to the pu~al_c. The Y1~ICA will offer programs for all ages including youth and teens. Most ~~ all, the YMCA ~ai11 be accountable for our actions to the comri,~n; ty of Plain~~a. The Yr1CA is open 6 a.m. to 10 p.m. Monday thr©ugh Thursdays, and 6 a.m. to 8 p.m. .Friday, Saturday the YMCA is openfrom:9 a.m. to 4 p.m. The YMCA w .~ be accessible far softball information during these hours. A major problem during the previous three years was communication and how to get a hold of i~ `~- formation. The YMCA will make sure-that the information is dispersed correctly. 4. The Budget Prospectus is-included on a seperate. sheet. Surplus monies from the program will be split to help .subsidize YMCA youth sports programs. The subsidy will go to help kids who can't afford to play in .YMCA youth sports ~aro- grams. The other 2 of surplus monies will go into a seperate account for capital improvements. .The restrooms and concession stands are badly needed. as well as: batting cages, worle on fields and dugouts, etc. The YMCA will be happy to irk with the Park Director .and the City of Plainview not only for financial aceoTt- ability, but also for work on field improvements. 5. The YMCA will hope to make money this year by encouraging and promoting week- end tournaments. The YMCA will stipulate that tournaments be scheduled t- week ahead, of time and also that the tournament fee of $150.00 be paid t~s t YMCA. The Park Director will know two weeks ahead of time about tournat~.~ The YMCA will hake sure that the fields are ready for tournament play. The ti~ill probably have three tournaments ourselves during the course of the seas (A seating tournament, a preseason tournament, and a 4th of July tournament •~ ~.. ~° . _ After credibility of the program improves, the YI~7CA would like to escalate the project for new restrooms and concess~.on stands as the surplus monies increase. ~`~ Five years from now we would like to have the restrooms and concession stand in place along with batting cages for participants. The YMCA would like to work with the City of Plainvietiv, to accomplish this project, possibly sharing the cost. 5. j~e will also try a church recreational co-ed fellowship league. G7e would like to see this league made of normal every day people who would like to play soft- -. ball of aI1 ages.. The YMCA will provide bats and balls, no uniforms will be necessary,. no official score or stnading will. be kept, and if one team does not have enough players,. we dill divide up and. play. The main player recruitment will be from the Churches but. team members can be from anywhere, unless they are playing on another softball or baseball league. This league is strictly for fun, fellowship, and recreation -and will have a minimal team sign up fee of $50.00. .Our. goal is that everyone tiaill be able to play who wants to play. The YA4CA will also offer 16" softball program which is labeled Chicago Style Softball.. This. is a popular game in Ghicago because no equipment other than a ball and a bat are needed. The 16" softball is softer and doesn't travel as far, thus no-need for gloves. This program can be played on the womens, girls softball field and the practice field. (We did not budget for. this program), ~•le will schedule ..our games for five days a week with weekend time left open for makeup games and tournaments. Jim .Teffers -requesting the use of the softball fields at Regional Park as we have every year since the early seventies. In a reply from . City Manager,. Mr. Jeffers, he stated that the city is planning to receive bias oa the use of the softball complex this year, and that we would need to submit a bid. The softball association plans to submit to the city a bid to use the fields, but the elected board members and many of the association members are very confused as to why the softball complex is the only city owned baseball ,~ ~ or softball facility that is being asked for bids this year. t7e also understand ~,._.~ that the city has granted an organization the use of the softball fields, without request for bids, for an all day/ all night softball tournament. We have tried to cooperate with .the city in all requests and tried in several ways to in.prove the facilities at Regional Park. Five years ago the association contracted with a local fencing contractor, with city approval, to place a fence around the un-lighted softball field in Regional Park. The field is_referred to as Field No. Three (3). The Pl.aii:vieta Softball Association has not t;acl:ed away from any of its obligations. We appreciate the city paying .the utility bill in the past, but have no ob,jectian to the Plainview Softball Association paying these bills and paying a reasonable amount to the. city for tiie use of ..the fields.
