RESOLUTION NO. R89-124
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
PLAINVIEW, TEXAS, SELECTING A CONSULTING ENGINEER
TO ASSIST THE CITY IN PERMITTING A NEW LANDFILL-
Whereas, the City is in need of developing a new landfill
site; and
Whereas, new Federal and State mandates make it impractical
for the City to proceed through the permitting process without
outside assistance; and
Whereas, the City has advertised for Request for Proposals
from qualified individuals to assist the City in the permitting
process.
Now, Therefore, Be It Resolved by the City Council of the
City of Plainview, Texas, that the Mayor is hereby authorized to
enter into a contract with ~mm Enqineers
for services to assist the City of Plainview in permitting a new
landfill, with said cost for said services not to exceed
$ 54,660.-74,250.

AGREEMENT FOR ENGINEERING SERVICES
WHEREAS, the City is in need of developing a new landfill
site; and
WHEREAS, new Federal and State mandates deem it impractical
for the City to proceed through the permitting process associated
with the development of a new landfill site without a professional
consultant's assistance; and
WHEREAS, the City solicited Request for Proposals seeking the
professional services of a consulting engineering firm experienced
in the design, the preparation of site development plans and the
permitting of municipal solid waste disposal facilities and
sanitary landfills in Texas in accordance with the Texas
Department of Health Municipal Solid Waste Management Regulations
as amended and who could assist the City in obtaining a permit for
a new solid waste disposal facility and/or sanitary landfill to
serve the City and surrounding community; and
WHEREAS, the Mayor has been authorized by Resolution No.
R89-124 to enter into an Agreement for Consultant's Services in
order to achieve the objective of permitting a new landfill site.
NOW, THEREFORE, IT IS AG~:
I.
PARTIES
THIS AGREEMENT is made and entered into by and between the
CITY OF PLAINVIEW, a Texas municipal corporation, of Hale County,
Texas ("City"), and HAMM ENGINEERS, located at 9408 Dartcrest,
Dallas, Texas, 75238. ("Consultant")-
II.
CHARACTER ANDEXTENTOF SERVICES
Consultant shall perform the services identified in the
statement of services, attached hereto as Exhibit A and made a
part hereof, and herein called the "Work." This Agreement shall
be administered on behalf of the City by its Director of Public
Works ("Director").
III.
COMPENSATION AND SCHEDULE
A. For the performance of the work of Consultant, City
agrees to pay Consultant for all services approved by the City
based upon actual costs, a sum not to exceed the specific costs
enumerated in the schedule below for each item and in no event a
total sum not to exceed $73,700, in accordance with the following
schedule:

B. The sums set forth in Section A shall be payable in
monthly installments in proportion to that part of the services
accomplished, as evidenced by monthly statements submitted by
Consultant to City. Statements requesting payment for services
rendered shall be directed to the Director. All remittances by
City shall be either mailed or delivered to Hamm Engineers, 9408
Dartcrest, Dallas, Texas 75238.
IV.
TERM
The term of this Agreement shall begin on April 11, 1989, and
end on September, 1990. All work is to be completed for City by
said expiration date. Upon the request of either party and
express written consent of both parties the term of this Agreement
may be extended.

TERMINATION OF AGREEMENT
In connection with the work set forth in Article II and the
time frames for completion of the work set forth in Article III,
it is agreed that City may cancel or indefinitely suspend further
work or-terminate this Agreement upon thirty (30) days written
notice to Consultant with the understanding that immediately upon
receipt of said notice all work and labor being performed under
this Agreement shall cease immediately. Before the end of such
thirty (30) days, Consultant shall invoice City for all work
completed and shall be compensated in accordance with the terms of
this Agreement for all work accomplished by him prior to the
receipt of said notice.
WARRANTY OF WORK
Approval by City and/or payment by City to Consultant shall
not constitute nor be deemed a release of the responsibility and
liability of consultant as a professional engineer, his employees,
agents and/or servants for the accuracy and competency of their
designs, working drawings, specifications or other work. Nor
shall approval and/or payment to Consultant be deemed an
assumption of such responsibility by City for any defect in the
design, drawings, specifications or other documents prepared by
Consultant or his employees or agents.
Consultant also agrees to defend and hold City harmless
against any and all claims for damages, costs, injuries and
expenses to persons or property arising out of , or in connection
with, any negligent act, error, or omission of Consultant, its
officers, employees, agents, associates or sub-contractors, in the
performance of this Agreement.
VII.
APPLICABLE LAW
This Agreement is made subject to the charter and ordinances
of City, as amended, and all applicable federal and state law.
VIII.
CONSULTANT'S WORK PRODUCT
All of Consultant's work product under this Agreement shall
become the property of the City, without restriction on future
use. Copies may be retained by Consultant. Consultant shall
retain all records relating to this Agreement for 3 years
following termination, during which time the City reserves the
right to audit such records at its election.

IX.
VENUE
It is agreed that venue ior this Agreement is in Hale County,
Texas.
X.
NON-ASSIGNABILITY
This Agreement shall not be assigned without the express
written consent of the City.
XI.
This Agreement represents the entire agreement between the
parties and no other agreements, conditions, or work shall be
performed or required unless the written consent' of both parties
is obtained.

"EXHIBIT A"
SCOPE OF SERVICES:
The consultant shall provide, secure and coordinate all technical
and professional services required to satisfy the requirements of
the State of Texas for the issuance of a permit to the City of
Plainview for the operation of municipal solid waste disposal
facility and/or sanitary landfill.
Those services shall include but not be limited to the following:
1) Preparation of a study and report providing an analysis of
solid waste disposal requirements over the next two decades
(until 2010), the feasibility of various methods of disposal,
including resource recovery for reuse and recycling,
incineration, and landfill, sufficient to serve the City and
area within five miles in all directions and recommendations
as to implementation of the method or combination of
methods considered most feasible by the consultant.
Feasibility studies and reports for three alternate disposal
sites and assistance in final site selection.
3) Preliminary consultation with appropriate State agencies to
establish specific site development studies and design
criteria necessary for the project.
4) Requesting and reviewing proposals for technical and
professional services not performed by consultant; and,
through coordination and approval of City Staff, the
selection of persons and/or companies to perform those
servicest such as:
a) Geotechnical boringst analyses, studies and
reports
b) Topographic and boundary surveys and mapping
c) Air pollution studies, modeling and reports
d) Biological studies, surveys and reports
e) Archeological surveys, studies and reports
f) Aerial photography and prints
g) Such other services as may be required
